Terms of Service

To use certain features of the Services, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Our Services are intended for students enrolled in or eligible for Ontario secondary school education. If you are under 18, you represent that you have the consent of a parent or guardian to use the Services.

VibeLearn provides an online learning platform where students can study Ontario curriculum content, receive AI-powered coaching, and earn official Ontario high school credits through our accredited partner, AsyncAcademy (BSID #665288).

Accessing and learning on the platform is free. To earn an official Ontario credit, a fee of $249 per course applies. This fee covers credit issuance, academic record keeping, and Ontario Student Transcript reporting through our accredited partner.

You agree to complete all coursework, assessments, and evaluations honestly and independently unless collaboration is explicitly permitted. Academic dishonesty includes but is not limited to:

• Submitting work that is not your own
• Plagiarizing from any source, including AI-generated content
• Sharing assessment questions or answers with other students
• Using unauthorized aids during proctored evaluations
• Misrepresenting your identity during assessments

Violations of the academic integrity policy may result in a failing grade on the assessment, removal from the course without refund, or permanent suspension from the platform.

VibeLearn provides an AI Coach to support your learning through feedback, explanations, and guidance. The AI Coach is a learning tool designed to help you understand course material and improve your work.

You agree that you will not:

• Use the AI Coach to generate submissions that you present as your own work
• Attempt to manipulate the AI Coach to provide answers to assessments
• Use the AI Coach in any way that violates the academic integrity policy

The AI Coach provides educational support and its responses should not be treated as definitive academic authority. Final grading and credit decisions are made by qualified educators.

All course content, curriculum materials, platform design, software, logos, and other intellectual property available through the Services are owned by VibeLearn Inc. or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the course content solely for your personal educational purposes. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

Official Ontario high school credits are issued through our accredited partner, AsyncAcademy (BSID #665288), an inspected private school recognized by the Ontario Ministry of Education. VibeLearn facilitates the learning experience, but credit issuance is subject to:

• Successful completion of all course requirements
• Demonstration of mastery as evaluated by qualified educators
• Compliance with academic integrity requirements
• Payment of the applicable course fee

Credits appear on the Ontario Student Transcript and are transferable to any Ontario secondary school.

Course fees are due at the time of enrolment for credit. Payments are processed securely through Stripe. All prices are in Canadian dollars.

You may request a full refund within 14 days of enrolment, provided you have not completed more than 25% of the course. After this period, or if more than 25% of the course has been completed, fees are non-refundable. Refund requests should be directed to legal@vibelearn.com.

To the maximum extent permitted by applicable law, VibeLearn Inc., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, including but not limited to loss of data, loss of academic opportunities, or interruption of learning.

Our total liability for any claim arising from or related to these Terms or the Services shall not exceed the amount you paid to VibeLearn in the twelve (12) months preceding the claim.

We may suspend or terminate your account and access to the Services at our discretion, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and dispute resolution provisions.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date above. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or related to these Terms or the Services shall be resolved in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.
